Retailer Incentive Program Terms and Conditions

NO FEE OR PURCHASE IS REQUIRED TO REGISTER FOR THE PROGRAM. QUALIFICATION FOR PROGRAM REWARDS IS BASED ON COMPLETION OF THE APPLICABLE RETAILER ACTIVITIES AND PERFORMANCE REQUIREMENTS DESCRIBED BELOW. THIS IS NOT A SWEEPSTAKES OR GAME OF CHANCE.

1. Program and Agreement

The Road to LDORADO Retailer Incentive Program (the “Program”) is sponsored by Japan Tobacco International U.S.A., Inc., 4000 Center at North Hills St., Suite 700, Raleigh, NC 27609 (“Sponsor” or “JTI”), and administered on Sponsor’s behalf by Brandmovers, Inc., 1519 Carroll Drive, Atlanta, GA 30318 (“Administrator”). By registering for or participating in the Program, each participating Retailer (defined below) agrees to these Terms and Conditions and to Sponsor’s decisions regarding the Program, which are final and binding to the fullest extent permitted by law.

2. Eligibility

The Program is only open to legal residents of Texas who, as of the date of entry, are twenty-one (21) years of age or older, and are owners or authorized representatives of a Texas tobacco retail location holding a valid tobacco-sale permit and/or license who are invited to participate, or otherwise verified and approved by Sponsor, in its sole discretion, as an eligible tobacco retail location (each, a “Retailer”).

A Retailer must hold and maintain all licenses, permits, and authorizations required to sell tobacco products and must remain in good standing with Sponsor throughout the Program. Sponsor, Administrator, and their respective employees, officers, directors, agents, and representatives are not eligible to receive Program Rewards. Registration access or the ability to view the Program portal does not, by itself, establish eligibility, which is at Sponsor’s sole discretion to determine.

3. Program Period

Pre-registration is expected to begin September 28, 2026. The Program is expected to launch at 12:00:00 AM Central Time (“CT”) on October 11, 2026, and registration is expected to close at 11:59:59 PM CT on November 7, 2026 (“Program Period”). The communicated Program & qualifying sales end date is November 21, 2026 at 11:59:59 PM CT. Sponsor’s or Administrator’s systems, as applicable, are the official timekeeping devices for the Program.

4. Registration and Retailer Accounts

To be eligible for the Program, an eligible Retailer must first register through the designated Program portal as provided by Sponsor (“Portal”), and provide complete, accurate, and current information. Registration is free. Sponsor may verify a Retailer’s identity, authority, retail location, licensing status, Sponsor account information, and eligibility at any time. Participation and program rewards are limited to one Retailer. Duplicate, shared, fictitious, or otherwise unauthorized accounts may be rejected or combined, and related activity may be disqualified.

5. Program Structure

Eligible Retailers may earn Badges by completing specified activities or achieving applicable carton -per-week (“CPW”) performance thresholds. Badges shown in the Portal before final scoring are progress indicators only and may be delayed, corrected, reversed, or removed. A displayed or “unlocked” Badge does not create a right to a Program Reward. Final qualification is determined by Sponsor in its sole discretion after the Program ends and after Sponsor completes data reconciliation and verification. The Program Rewards eligible to be earned depend on the initial categorization of the Retailer either as “new” or “existing” as of the start date of the Program Period. The initial designation as “new” or “existing” will remain the same throughout the entire Program Period.

6. New Retailer Badge Requirements

A Retailer that Sponsor determines, in its sole discretion, did not stock LD products as of the start of the Program (“New Retailer”) may qualify for badges (each, a “Badge”) as follows. Sponsor determines Retailer classification in its sole discretion based on its business records.

  • Bronze Buckle Badge: Place the first qualifying order during the Program Period. A qualifying order must include at least four (4) eligible LD SKUs. An eligible SKU is any LD product ordered by the carton.
  • Silver Spur Badge: Earn the Bronze Badge and submit three (3) photographs of approved point-of-sale materials (“POSM”) that are accepted by Sponsor under Section 9.
  • Golden Saddle Badge: Achieve a final qualifying running-average CPW of at least three (3).
  • LoneStar Elite Badge: Achieve a final qualifying running-average CPW of at least four (4).
  • LDorado Legend Badge: Achieve a final qualifying running-average CPW of at least five (5).

For a new Retailer, the CPW averaging period is expected to begin on the date of its first qualifying order, which must be made during the Program Period. Sponsor will use MSAi data to track all Retailer orders.

7. Existing Retailer Badge Requirements

A Retailer that Sponsor determines, in its sole discretion, stocked LD products as of the start of the Program (“Existing Retailer”) may qualify for Badges according to final CPW thresholds established by Sponsor as follows. Sponsor determines Retailer classification (as new or existing) in its sole discretion based on its business records.

  • Bronze Buckle Badge: Finish with a 2 CPW Average
  • Silver Spur Badge: Finish with a 4 CPW Average
  • Golden Saddle Badge: Finish with a 6 CPW Average
  • LoneStar Elite Badge: Finish with an 8 CPW Average
  • LDorado Legend Badge: Finish with a 10 CPW Average

For both New Retailers and Existing Retailers, Badge progression is sequential. A Retailer must complete and be verified by Sponsor as having earned each Badge level before becoming eligible to unlock the next Badge level. Retailers may not skip, bypass, or otherwise advance past any Badge level. A New Retailer has until the end of the Program Period to submit three (3) photographs of Sponsor-approved point-of-sale materials, subject to Sponsor’s review and acceptance under Paragraph 9. Once a New Retailer timely completes that POSM submission requirement, the Program Reward for which the New Retailer may qualify will be determined based on completion of that POSM task and the New Retailer’s final qualifying running-average CPW, as verified by Sponsor after the Program Period. Accordingly, each Retailer will be eligible only for the Program Reward corresponding to the highest sequential Badge level that the Retailer has completed and Sponsor has verified by the end of the Program Period.

8. CPW Calculation, Data, and Final Scoring

JTI calculates CPW and supplies cumulative Program data to Administrator. Administrator displays the latest JTI-provided running average and does not independently calculate CPW. Portal information may lag underlying activity by approximately two (2) weeks; the first visible data update is expected on or about October 26, 2026. All displayed figures are preliminary. JTI’s final reconciled records, based on MSAi data reported in accordance with the MSAi reporting calendar, control in the event of any conflict. Sponsor may correct any error at any time and may require supporting records.

9. POSM Submissions

New Retailers will receive a POSM kit containing five (5) pieces of Sponsor-approved POSM and placement instructions for the Retailer’s participating retail location. To qualify for the Silver Spur Badge, a New Retailer must place the POSM in accordance with the POSM kit instructions and submit the required photographs for Sponsor’s review and acceptance under this Section 9. Where a Badge requires POSM photographs, each photograph must depict newly installed, Sponsor-approved POSM at the participating Retailer’s location and must comply with all Portal instructions. Accepted formats are expected to be JPEG or PNG, with a maximum file size of 10 MB per image. Sponsor will manually review submissions, generally within three (3) to five (5) business days. Rejected submissions may include a reason, and a Retailer may resubmit without penalty, subject to all deadlines. Submitting a photograph does not guarantee acceptance. Sponsor may reject photographs that are duplicate, unclear, altered, misleading, noncompliant, taken at another location, contain inappropriate content, disclose personal information, or fail to show approved POSM. By submitting a photograph, the Retailer represents that it has authority to capture and submit the image and grants Sponsor and Administrator a nonexclusive, royalty-free right to use it to administer, verify, audit, and document the Program. The deadline to submit POSM photos for approval is November 21, 2026, at 11:59:59 PM CT.

10. Program Rewards

Program Rewards available in this Program correspond to the Badge earned by a Retailer. Limit one (1) Program Reward per Retailer during the entire Program Period. Program Rewards are subject to verification by Sponsor. Each Retailer will receive no more than one (1) Program Reward, corresponding to the highest Badge earned by the end of the Program Period. Program Rewards are not cumulative. Program Rewards have no cash equivalent, are not transferable or redeemable for cash, and may not be sold through the Program. Sponsor may substitute a Program Reward with one of equal or greater value if an advertised Program Reward becomes unavailable. Retailers are solely responsible for any federal, state, or local taxes and any reporting obligations arising from receipt of a Program Reward. On or about December 14, 2026, Sponsor or Administrator will mail the Program Reward to each applicable Retailer.

11. Verification and Fulfillment of Program Rewards

After final scoring of the highest Badge earned by each Retailer, which will occur on or about 14 business days following the end of the Program Term, Sponsor will verify eligibility, Badge qualification, account status, and the participating Retailer location’s shipping address. The shipping address on file will be locked at final scoring, and the Retailer is responsible for correcting it before that time. Verified Program Rewards are expected to be shipped automatically in a separate fulfillment batch; no claim is required unless Sponsor requests additional verification. Neither Sponsor nor Administrator are responsible for delays outside its reasonable control. Allow 4 to 6 weeks for the receipt of a Program Reward. Neither Sponsor nor Administrator are responsible for lost, late, stolen, mutilated, misdirected, delayed, or returned mailing of any Program Reward.

12. Retailer Conduct; Disqualification

Retailers must provide truthful information and participate in good faith. Sponsor may deny or revoke a Badge or Program Reward, suspend an account, or disqualify a Retailer for ineligibility; fraud or attempted fraud; manipulation of orders, invoices, returns, photographs, accounts, or Program data; violation of law, trade-program requirements, or these Terms and Conditions; abuse of Sponsor personnel or systems; or conduct that threatens the fairness, integrity, security, or administration of the Program. Sponsor may recover the value of a Program Reward issued based on inaccurate, reversed, or fraudulent activity, to the extent permitted by law.

13. Program Changes, Suspension, or Termination

Sponsor may interpret, modify, suspend, or terminate the Program, in whole or in part, if fraud, technical failure, data error, supply disruption, legal or regulatory requirements, force majeure, or another circumstance impairs the Program’s administration, integrity, feasibility, or intended operation. Sponsor will provide notice in the Portal or by another reasonable method when practicable. Any material change will be administered subject to applicable law, and Sponsor may determine final qualification based on eligible activity recorded before the effective date of a suspension or termination.

14. Release and Limitation of Liability

To the fullest extent permitted by law, each Retailer releases Sponsor, Administrator, and their respective parents, affiliates, subsidiaries, agencies, service providers, officers, directors, employees, and agents from claims, losses, damages, liabilities, costs, and expenses arising from participation in the Program; reliance on preliminary Portal information; acceptance, possession, use, misuse, loss, or delivery of a Program Reward; or technical, data, communications, printing, or administrative errors. Nothing in these Terms and Conditions excludes liability that cannot lawfully be excluded. Program Rewards are provided without any warranty by Sponsor except any applicable manufacturer warranty.

15. Disputes; Governing Law

(a) Binding Arbitration. Except where prohibited by law, by participating in this Program, Retailer agrees that any and all disputes, claims, counterclaims, or controversies arising out of, connected with, or relating to this Program, these Terms and Conditions, or the prize awarded shall be resolved exclusively through final and binding arbitration. The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect, except as modified herein.

(b) Venue and Governing Law/Costs & Fees. The arbitration shall take place individually before a single neutral arbitrator. The physical venue for the arbitration hearings shall be Wake County, North Carolina, USA. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of Retailer and Sponsor, shall be governed by, and construed in accordance with, the laws of the State of North Carolina, without giving effect to any choice of law or conflict of law rules. To the maximum extent permitted by applicable North Carolina law, the prevailing party in any arbitration proceeding brought under these Terms and Conditions shall be entitled to recover its reasonable attorneys' fees, expert witness fees, and arbitration costs from the non-prevailing party.

(c) Waiver of Class Actions and Jury Trial/Limitation of Liability. RETAILER ACKNOWLEDGES AND AGREES THAT ALL DISPUTES MUST BE ARBITRATED ON AN INDIVIDUAL BASIS. RETAILER EXPRESSLY WAIVES ANY RIGHT TO COMMENCE, JOIN, OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL PROCEEDING IN ARBITRATION OR IN COURT. FURTHERMORE, BOTH RETAILER AND SPONSOR MUTUALLY WAIVE ANY RIGHT TO A TRIAL BY JURY. The arbitrator shall have no authority to award punitive, exemplary, incidental, indirect, or consequential damages (including, without limitation, lost profits, business interruption, or loss of use). Retailer’s sole and exclusive remedy, and Sponsor’s total aggregate liability in any dispute, shall be strictly limited to the actual out-of-pocket expenses incurred by Retailer to enter this Program, or the ARV of the Program Reward at issue, whichever is less.

If any provision or sub-part of this arbitration section is found by an arbitrator or court of competent jurisdiction to be invalid or unenforceable, the remaining portions of this section shall remain in full force and effect.

16. Privacy

Information collected in connection with the Program will be used to administer the Program, verify eligibility and performance, communicate with Retailers, fulfill Program Rewards, prevent fraud, and comply with law, consistent with Sponsor’s applicable Privacy Policy and the Terms of Use. If these Terms and Conditions conflict with the privacy notice concerning personal-information practices, the privacy notice controls for those practices.

17. Miscellaneous

If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Sponsor’s failure to enforce a provision is not a waiver. These Terms and Conditions, together with any incorporated portal terms and final published Program details, constitute the agreement concerning this Program and supersede prior inconsistent Program descriptions. Headings are for convenience only. The Program is void where prohibited or restricted by law.
